TUFFShel Terms & Conditions

Welcome to TUFFShel Ltd, a trading division of NP Structures Ltd, incorporated and registered in England and Wales (Company No. 4322191 ). These terms and conditions (“Terms”) govern your purchase of TUFFShel products, components, and related services.

By placing an order with us, you agree to these Terms in full. If you do not agree with any part of these Terms, you must not place an order.

1. Definitions

In these Terms:

  • “We/Us/Our” means NP Structures Ltd., trading as TUFFShel.

  • “You/Customer” means the individual or company ordering TUFFShel products or services.

  • “Products” means TUFFShel structures, frames, covers, accessories, and related items.

  • “Order” means a request by you to buy Products from us.

  • “Contract” means the legally binding agreement between you and us for supply of Products.

2. Contract Formation

2.1 All orders are subject to acceptance by us.
2.2 A Contract is formed when we issue an Order Acceptance in writing (including email).
2.3 We may refuse or cancel any order for any reason, including product discontinuation, suspected fraud, or inability to deliver.

3. Price & Payment

3.1 All prices are as quoted on our website, configurator, quotation, or in writing.
3.2 Prices exclude VAT, taxes, duties, and delivery charges unless stated.
3.3 Payment terms are either:

  • Full payment prior to manufacture (standard).

  • Agreed staged payments (where offered).
    3.4 If payment is not received by the due date, we may:

  • Suspend delivery

  • Charge interest at 4% above base rate per annum

  • Recover costs of collection

4. Delivery & Risk

4.1 Delivery dates are estimates only; time is not of the essence.
4.2 We are not liable for delays caused by third parties, force majeure, customs delays, or site access issues.
4.3 Risk passes to you when Products are delivered, unloaded on site, or made available for collection.
4.4 You must inspect on delivery and report visible damage within 48 hours.

5. Title & Retention of Title

5.1 Title (ownership) of Products remains with TUFFShel Ltd until we have received full payment.
5.2 You must store Products separately, clearly identifiable as our property.

6. Specification & Installation

6.1 Product descriptions, specifications, illustrations, and dimensions are for guidance and industry standards at time of posting. Minor deviations may occur.
6.2 Site preparation, groundworks, and foundations are generally the Customer’s responsibility unless a separate service is purchased.
6.3 If installation services are provided by us or a nominated contractor, they will be detailed in a separate scope of work.

7. Warranty

7.1 Subject to conditions below, we warrant that Products will be free from material manufacturing defects for 12 months from delivery.
7.2 This warranty excludes:

  • Normal wear and tear, vandalism, misuse or accidental damage

  • Damage due to improper installation or ground conditions

  • Covers exposed to loads beyond specified design ratings
    7.3 Warranty claims must be notified in writing with supporting photos within the warranty period.
    7.4 Our only obligation under warranty is repair or replacement at our discretion.

8. Limitation of Liability

8.1 To the extent permitted by law, our total liability under this Contract shall not exceed the price paid for the Products.
8.2 We shall not be liable for any:

  • Loss of profits, loss of business, loss of use, indirect or consequential losses

  • Costs arising from delays in delivery or installation
    8.3 Nothing in these Terms limits liability for death or personal injury caused by our negligence.

9. Cancellation & Returns

9.1 TUFFShel products are bespoke and custom manufactured; therefore, Orders may not be cancelled once manufacturing has begun.
9.2 If cancellation is accepted before manufacture, we may charge an administrative fee of up to 25% of the order value.
9.3 Returned goods require our written authorisation. Products must be unused, in original packaging, and are subject to a restocking charge.

10. Intellectual Property

10.1 All drawings, designs, text, graphics, and branding remain the property of TUFFShel Ltd / NP Structures Ltd.
10.2 You may not reproduce, distribute, or use our intellectual property without written permission.

11. Data Protection

We will process personal data in accordance with our Privacy Policy. By ordering, you consent to such processing.

12. Governing Law & Jurisdiction

12.1 These Terms and the Contract shall be governed by the laws of England and Wales.
12.2 Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. General

13.1 No variation of this Contract shall be effective unless agreed in writing.
13.2 If any provision is found unenforceable, the remainder shall remain in force.
13.3 Headings are for convenience and do not affect interpretation.
